At all meetings held under the jurisdiction of the Association, motions shall be approved by a simple majority unless otherwise stipulated in the Memorandum of Association or By-Laws and voting shall be a show of hands, unless otherwise stipulated by the memorandum of Association or By-Laws or decided upon by the Meeting. All persons present at any such meetings, who are entitled to a vote, shall have one vote except for the Chairman who will vote only to break a tie.
